Terms of Service
Last updated: 12 May 2026 · Plain-English summary at the top, full terms below.
The short version
- • Your content is yours. You upload files; we don't claim ownership. We process them so Oye can read them aloud and write you debriefs.
- • Only upload what you have the right to. Don't upload pirated books or copyrighted material you don't own. If someone sues us over what you uploaded, that falls on you.
- • Cancel anytime, keep what you built. Your Knowledge Bank, debriefs, and source files stay yours forever — even after cancellation.
- • AI can be wrong. The voice and debriefs are AI-generated. Don't make medical, legal, or financial decisions based on Oye output without verifying.
- • We can't pay you more than what you paid us. Our liability is capped at the fees you paid in the last 12 months. Standard SaaS terms.
1. Who you're agreeing with
Oye ("Oye," "we," "us") is operated by an individual, based in Lagos, Nigeria. When you sign up for an account, use the service, or pay for a subscription, you ("you" or "the user") agree to these Terms. If you don't agree, please don't use Oye.
You must be at least 18 years old, or have permission from a parent or legal guardian, to use Oye.
2. The service
Oye is a personal audio intelligence platform. You upload documents (PDF, DOCX, ePub, Markdown). We extract the text, read it to you using AI-generated voices (currently Deepgram), and generate AI-written debriefs after each listening session using Anthropic's Claude API. Notes you save go into your personal Knowledge Bank.
We may change, suspend, or discontinue parts of the service at our discretion. We'll give you reasonable notice for material changes that affect paid users.
3. Your account
You're responsible for keeping your password secure. Don't share your account with anyone else. If you suspect unauthorised access, tell us immediately at abrahamalabi1@gmail.com.
You can delete your account at any time from your Account settings. When you do, we remove your personal data per our Privacy Policy, subject to legal retention obligations (e.g., payment records).
4. Your content
You retain full ownership of every document you upload, every block you save, and every word you write into Oye. We don't claim any ownership over your content.
You grant us a limited licence to process your content for the sole purpose of providing the service — reading it aloud, generating debriefs, storing it on our infrastructure, and showing it back to you. This licence ends when you delete the content or your account.
You promise that you have the right to upload anything you upload. Don't upload pirated books, copyrighted material you don't own, content that violates someone's privacy, or anything illegal. If a third party (e.g., a publisher) sends us a valid takedown notice for your content, we'll remove it and may terminate your account.
You agree to indemnify us — meaning cover our legal costs and any damages — if a third party sues us over content you uploaded that you didn't have the right to use.
5. AI-generated output
The audio narration, debriefs, summaries, takeaways, reflection questions, and knowledge block extractions in Oye are generated by third-party AI models (currently Deepgram for voice; Anthropic Claude for text). AI output can be inaccurate, incomplete, or just wrong.
Do not rely on Oye's output for medical, legal, financial, or safety-critical decisions without verifying the underlying source material. Oye is a study tool and a comprehension aid — not professional advice.
6. Subscriptions, billing, and refunds
Oye offers a free tier (3 documents lifetime, full features) and a paid Pro tier (unlimited). Pro subscriptions are billed in advance through:
- • Paystack for Nigerian users (NGN)
- • Lemon Squeezy for international users (USD)
By subscribing, you authorise us (via the payment provider) to charge your card on the agreed schedule (monthly or annual) until you cancel. Prices are listed on our pricing page and may change with reasonable notice for future billing cycles.
You can cancel anytime from your Account settings. Cancellation takes effect at the end of your current billing period — you keep access until then. We don't refund partial periods. After cancellation, a 90-day grace period applies during which your audio remains playable. After that, audio files are removed; your Knowledge Bank, debriefs, and source documents remain accessible forever.
EU customers (via Lemon Squeezy) may have additional rights under EU consumer protection law, including a 14-day cooling-off period. Lemon Squeezy, as merchant of record, handles refund requests in those cases.
7. Prohibited uses
You agree not to:
- • Upload illegal, infringing, or hateful content
- • Attempt to break, reverse-engineer, or overload our infrastructure
- • Resell access to your account or share login credentials with others
- • Use Oye to systematically scrape, index, or republish content you don't own
- • Bypass our usage limits or impersonate another person
We may suspend or terminate accounts that violate these rules. In serious cases, we may report to law enforcement.
8. Termination
You can stop using Oye at any time and delete your account from your settings. We may suspend or terminate accounts that violate these Terms, with or without notice, depending on severity. If we terminate your account for cause (e.g., copyright violation, fraud), no refund is due.
9. Disclaimers
Oye is provided "as is" and "as available." We don't guarantee uninterrupted service, perfect AI output, or that the platform will meet your specific needs. We disclaim all warranties to the extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to Oye is capped at the total fees you paid us in the 12 months preceding the claim. For free users, that amount is zero, so our liability is limited to NGN 10,000 (approximately USD 10).
We are not liable for indirect, consequential, incidental, special, or punitive damages — including lost profits, lost data, or loss of business — even if we've been advised of the possibility.
Some jurisdictions don't allow these limitations. If you're in one of them, the limits apply to the maximum extent allowed.
11. Indemnification
You agree to indemnify and hold harmless Oye and its operators from any claim, loss, damage, or expense (including reasonable legal fees) arising out of: (a) your use of the service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you uploaded that you didn't have the right to use.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or in-app at least 30 days before the changes take effect for existing paid users. Continued use of Oye after the effective date means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will be resolved in the courts of Lagos State, Nigeria, unless mandatory consumer-protection law in your jurisdiction grants you the right to bring claims locally.
Before filing a formal claim, please contact us at abrahamalabi1@gmail.com — most issues can be resolved directly within a few days.
